Noida: R Systems International Limited announced the signing of a definitive agreement to acquire Novigo Solutions, a company specializing in low-code/no-code (LCNC) development and intelligent automation services.
The acquisition positions R Systems as a global powerhouse in digital product engineering, with combined revenues of approximately INR 20,600 million ($240M) and EBITDA of INR 3,800 million ($45M).
The deal includes an upfront cash consideration of INR 400 crore, with an additional stock component linked to future EBITDA performance. The transaction is expected to be earnings-per-share (EPS) accretive from the first year.

Novigo Solutions: Strong Growth Trajectory
Novigo Solutions has reported an impressive 44% revenue CAGR over the past three years, maintaining a 25% EBITDA margin along with robust free cash flow. The company has built deep expertise in LCNC platforms and automation, delivering enterprise-scale solutions that accelerate digital transformation.
Strategic Integration with R Systems OptimaAI Suite
This acquisition will integrate R Systems’ OptimaAI Suite with Novigo Solutions’ UiPath Diamond-tier automation practice and Microsoft Copilot Centre of Excellence. Together, the combined entity will enable enterprises to design, orchestrate, and manage fleets of AI agents under a unified, governed platform.
The move further expands R Systems’ geographic footprint, strengthening its presence in the Middle East while adding delivery centers in Bangalore and Tier 2 cities like Mangalore.
